Clients will be notified of call recording in accordance with applicable laws.

Coinance retains all rights to:

- Training materials and documentation
- Trademarks and brand elements
Client Property
Clients retain ownership of:
- Customer data and information
- Product information and materials
- Brand elements and trademarks
- Business processes and procedures
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- COINANCE'S TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY CLIENT IN THE 12 MONTHS PRECEDING THE CLAIM
- COINANCE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
- COINANCE IS NOT LIABLE FOR DAMAGES CAUSED BY THIRD PARTIES OR FORCE MAJEURE EVENTS
- CLIENTS ARE RESPONSIBLE FOR BACKUP OF THEIR OWN DATA AND SYSTEMS
10. Indemnification
Client agrees to indemnify and hold harmless Coinance from any claims arising from:
- Client's breach of these Terms or applicable laws
- Client's products, services, or business operations
- Unauthorized use of Client's account or credentials
- Third-party claims related to Client's content or materials
11. Termination
Termination by Client
Clients may terminate services by:
- Providing written notice as specified in the service agreement
- Completing any minimum commitment periods
- Paying all outstanding fees and charges
- Following data transition procedures
Termination by Coinance
Coinance may terminate services for:
- Material breach of Terms or service agreement
- Non-payment of fees after notice and cure period
- Illegal or harmful use of services
- Business reasons with appropriate notice
12. Force Majeure
Neither party shall be liable for delays or failures in performance due to circumstances beyond their reasonable control, including:
- Natural disasters and extreme weather events
- Government actions and regulatory changes
- Labor disputes and strikes
- Technology failures and cyber attacks
- Pandemic or public health emergencies
13. Dispute Resolution
